Julie Marion maintains a diverse tax practice advising companies on business acquisitions, joint ventures, insolvency and restructurings, tax planning and international tax matters. She devotes a significant amount of her practice to structuring and advising on tax and related business aspects of enterprises using pass-through structures, including start-up ventures, restructured companies and investment funds.
Ms. Marion also has significant experience representing public and privately-owned companies and buyout firms in connection with tax-free and taxable mergers and acquisitions and leveraged buyouts. In addition, she has represented debtors and creditors in bankruptcies and insolvency restructurings, and has represented issuers and underwriters in securities offerings, including initial public offerings, debt offerings and securitizations.
She regularly advises clients on the federal tax incentives available for renewable energy and other clean technologies and has experience representing developers and lenders in connection with the financing of renewable energy projects.
Ms. Marion recently spoke on the topic of foreign investment in domestic pass-through entities at the American Bar Association, Tax Section’s Midyear Meeting. In addition, she serves on the Advisory Board for Latham’s Women Enriching Business (WEB) initiative and is on the board of directors of the Chicago-based Coalition of Women’s Initiatives in Law.
